(NASDAQ: ADSK) has announced a definitive agreement to acquire PlanGrid, a leading provider of construction productivity software, for $875 million net of cash. This strategic move aims to strengthen Autodesk’s cloud-based construction platform by integrating PlanGrid’s innovative tools into its ecosystem.

PlanGrid’s software is designed to help general contractors, subcontractors, and project owners in various industries—such as commercial and heavy civil construction—collaborate more efficiently throughout the entire project lifecycle. With real-time updates, it ensures that both on-site workers and office teams stay aligned. The platform provides instant access to blueprints, punch lists, daily reports, progress photos, submittals, and more, making it an essential tool for modern construction management.

Integration Strategy

Autodesk and PlanGrid have built complementary integration ecosystems that allow customers to connect with other third-party applications. The acquisition is expected to expand this network, offering users a flexible and scalable platform for testing and implementing new working methods.

Financial Terms and Outlook

The deal is subject to standard closing conditions and is anticipated to be finalized during Autodesk’s fourth quarter of fiscal 2019, which ends on January 31, 2019. Since the exact timing remains uncertain, Autodesk hasn’t included any impact on its financial outlook for the quarter. However, the company expects the acquisition to have a minor positive effect on revenue and a small negative impact on profitability and cash flow for the fourth quarter. For fiscal year 2020, Autodesk anticipates PlanGrid to contribute approximately $100 million in annual recurring revenue, with a slight dilutive impact on profitability and cash flow. Despite this, the company continues to target its free cash flow goals for the year.
